Does Pencader still have an illegal board even with their newly “appointed” members?

Bylaws here:

Bylaws clearly require 2 parent reps.

The list of additions:

Jay Anderson
Steve Quimby
Vincent DiMauro
Daphane Davis
Kimberly Clemmons

I know Judi Kennedy is a parent, but are any other members legal parents/guardians and I cannot find specific details in the media reporting thus far?

**UPDATE** Reports coming in, seem to confirm that the new Board remains out of compliance with bylaws regarding parent members despite assertion to the contrary.

  1. You have a valid point! The bylaw says “shall” re: two parent representatives. But than again your are in Delaware were rules and laws apply to the people not the state or it’s agencies. However, with the new Pencader storm heading of the horizon (I am talking the 16th issue but something new) the lights might be going out.

  2. You are right, Judi Kennedy is a parent of both a rising senior and an entering freshman. Clemmons and Davis are both parents of graduated students, and I don’t think that counts. There’s nothing in any records speaking to the other new members being parents of current students that I am aware of. The other continuing Board member is a “god parent” of a student who is a rising sophomore. Because he has a very active involvement in that student’s school life he does act as a “parent”…..don’t know if that satisfies any legal definitions. But the By-Laws are, again, fuzzy….

    • fuzzy indeed.Not sure why the specific composition of the board is not vetted or challenged by the authorizer (DOE/SBE) At best the media reports vs. blogs appear to be disconnected in their interpretation of who is on the BOD as it relates to meeting the statutory requirement as a corporation to be guided by the bylaws.

      Another question revolves around the word FACULTY. Faculty almost always means teachers. My understanding is that Mr. Andersen on the Board is a paraprofessional, even though he holds teacher certification, and as such would not be considered by most schools as faculty, but rather as staff. WOuld love to have this clarified as well.

      • I agree. If the Board wanted to be smart (define that!!) they would, in my opinion, follow Chapter 5 of Title 14 and have just ONE TEACHER rep on the Board (and I’d say have the teachers and not the admin select/elect that teacher) and ONE parent rep (and have the parent body select/elect that parent) and it should not be an officer of the PTO at Pencader. With two teachers and two parents you put quorum control there in that handful of possibly conflicted people who can and do fear retribution for decision making. That needs to all be part of newly crafted ByLaws which should be done by an attorney because By Laws are an important legal document. In the end one of the important things, of many, that Pencader needs is a board totally divorced from school administration. Right now the Board is controlled, or so it appears, by Westfield’s most prominent Delaware alumna.

      • “Pencader needs is a board totally divorced from school administration” I hope the Pencader board of directors aka school board has “board and director’s insurance”. When the storm hits board members better have the answers. . .
